Standard commercial license
1. Parties and definitions
This Standard Commercial License (“SCL”) is between Gopex LLC (“Licensor”) and the individual or entity that completes checkout and receives a receipt for the applicable product on ProceduralSky.com (“Licensee”). The licensed materials (HDR environment maps, related textures or plates, and documentation as delivered) are the “Work.”
2. Grant of license
Subject to payment and this SCL, Licensor grants Licensee a non-exclusive, non-transferable, perpetual, worldwide license to use the Work for commercial and non-commercial purposes, including:
- Rendering still images and animations (including for client work, advertising, games, film, and visualization);
- Real-time use as environment lighting or background imagery in shipped interactive products;
- Modification and combination with other assets as part of Licensee’s productions.
3. Restrictions
Licensee shall not:
- Resell, sublicense, or redistribute the Work (or substantially similar derivatives) as a stock asset or standalone environment product where the primary value is the unmodified or lightly modified Work;
- Use the Work in a way that implies endorsement by Licensor or its contributors without written permission;
- Remove or alter proprietary notices embedded in files where provided;
- Circumvent technical delivery or access controls.
Nothing in this SCL assigns copyright ownership to Licensee.
4. Third parties and models
If identifiable people, private property, or trademarks appear in a Work, Licensee is responsible for obtaining any additional releases or permissions required for its specific use. Licensor does not warrant that every jurisdiction permits every conceivable use.
5. Exclusive sale and grandfathering (capture date)
Licensor may offer, separately, an outright exclusive-rights purchase for a Work under the Exclusive Rights (Outright Purchase) terms. If Licensor completes such a sale, Licensor will record an effective “capture date” after which new standard commercial licenses for that Work are no longer sold through ProceduralSky.com.
Grandfathering. If Licensee purchased a standard commercial license for that Work before the capture date (as evidenced by Licensor’s records, e.g. order ID and receipt timestamp), Licensee retains the rights granted under this SCL for uses consistent with the version of the terms in effect at the time of purchase. That grandfathered license remains non-exclusive and does not expand to cover uses that would require ownership of copyright in the Work (e.g. re-licensing the raw Work as stock). The party that acquires exclusive rights receives the assignment described in the outright purchase agreement instead.
6. Warranty disclaimer
The Work is provided “as is.” To the maximum extent permitted by law, Licensor disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of liability
Licensor’s total liability arising out of this SCL shall not exceed the fees Licensee paid for the applicable Work. Licensor is not liable for indirect, incidental, special, or consequential damages.
8. Termination
Licensor may terminate this SCL if Licensee materially breaches it and fails to cure within thirty (30) days of notice. Upon termination, Licensee must cease new uses; finished productions lawfully created before termination may continue to be distributed as reasonable wind-down.
9. Governing law
This SCL is governed by the laws of the jurisdiction Licensor designates in its master terms, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive subject-matter jurisdiction, unless a mandatory consumer protection rule provides otherwise.
10. Entire agreement
This SCL, together with the Terms of use and the order receipt, is the entire agreement for the standard commercial license. Licensor may update this document for future sales; the version linked at checkout governs your purchase.
